Decision Maker

The decision maker is a tool to enable an outside meeting vote called a Circular Resolution. The Circular Resolution is sometimes known as flying-minutes, VOC (vote outside a committee meeting), "directors' signature resolution" or Circulating Directors' Resolution.

This tool allows your members to vote on an issue or pass motions between meetings. Whether your organisation can do this will depend on its legal structure, constitution and the legal requirements of the jurisdiction it resides in.

Create a Decision

To create a new decision navigate to by clicking Decisions in the main menu.

Next click the Submit New Proposal button. This will open a modal where you can enter:

  • Purpose

This is the title or purpose of the proposal and should be clear and concise.

  • Background

Provide details on the background to the proposal for the board to consider.

  • Recommendation

This is where you should put your specific recommendation to those voting on your proposal. It should be very specific and exact.

  • Vote by Date and Time

This is an optional field. If you require members to vote by a specific date and time enter it here.

If you specify a date and time, after the initial notification to vote they the members selected to vote will receive reminder notifications to vote:

  • 1 week
  • 1 day
  • 1 hour

prior to the set date and time.

Please note that the date and time are based on the timezone set in Settings.

  • Members

Tick the people on the members list who need to vote on your proposal.

Once you have filled in your proposal details then click Save

Members selected will now receive a notification to vote. If you set a Vote by Date and Time they will also receive reminders as per the schedule outlined above.

Vote on a Decision

To vote on a decision you can either:

A. Click the link in the email notification about the decision that you receive. Which will take you straight to the voting page. B. Login to Our Cat Herder, navigate to the Decisions page, find the decision in question and click the Vote button on the far right.

Once you have navigated to the Decision detail page, you will see a Vote button. Click this and you will be able to choose from the following options:

  • Yes
  • No
  • Abstain

Once your vote is cast it cannot be changed.

Delete a Decision

To delete a decision find the relevant decision in either the "Active Decisions" or "Past Decisions" tab on the Decisions page.

On the far right of the decision you should see a trash icon. Click this to delete the decision.

Decision deletion is a permanent action. It cannot be reversed.
